This Network is allowing you to voluntarily provide information for the purpose of utilizing forms, media walls, timelines, or other areas of the platform which may include: user registration, contact requests, support request, online surveys, media wall & timeline postings, audio, video, photos, and other online activities. You or members of this platform will have the choice as to whether or not to disclose such Personal Information in the above activities; however, some parts of the Site and some services may be more difficult or impossible to use if you choose not to disclose Personal Information.

This Network allows any Broadcast Group, Business, Organization or Entity to provide a platform utilizing digital commerce tools associated with video, audio, media walls & social networking. This Network and all Network Affiliates adheres and enforces all legal and ethical rules and regulations as it relates to operating business in a professional manner. We expect all users, members, managers and owners to adhere to the same expectations. Anyone found in violation, may be subject to termination. Although our software prevents any foul launguare from being posted based on foul word exclusion software, we still remind you that any user, or member who distributes or post any nudity, foul launguage, or hateful communications, will be terminated. Our goal is to provide a platform for friendly users and communities. .

Copyrights: The EnvisionCast Platform contains a variety of copyrighted features and processes which may not be copied or dupliated by you without obtaining a licensing agreement. ANY USE OF OUR SOFTWARE PLATFORM, ITS ALGORITHMS, PROTOCOLS, INTERFACES, OR PROCESSES WITHOUT WRITTEN CONSENT BY ENVISIONCAST MAY BE A VIOLATION OF THIS TERMS OF SERVICE

AGE OF CONSENT. You must be 13 years and older to use this site. We do not allow for any content which may be deemed as pornography, defamatory, libelous, obscene, harassing, threatening, incendiary, abusive, racist, offensive, deceptive or fraudulent, encouraging criminal or harmful conduct, or which otherwise violates our rights or any third party (including any intellectual property rights, privacy rights, contractual or fiduciary rights), or otherwise shows any person, entity or brand in a bad or disparaging light, without their prior explicit approval; If this describes your audios, videos, photos even if they are content of yourself, don't post them here.

UPLOADED CONTENT. Only upload media contents (audios, videos, photos etc) that you made or that you have obtained the rights to use. You represent and warrant that: (i) you own the Content posted by you on our platform / website or otherwise have the right to grant the license, and (ii) your posted Content does not violate the privacy rights, publicity rights, copyright rights, or other intellectual property rights of any third party entity. You agree to pay for all royalties and fees owing any person by reason of any Content you post on this Platform.

Limitation of Liability. IN NO EVENT SHALL ENVISIONCAST NETWORKS, IT'S CLUBS, OWNERS & ASSOCIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR OTHER CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS AND DAMAGES RELATED TO SOFTWARE MALFUNCTION OR DELETION OF SHOPLOCAL NETWORKS, VIDEO, AUDIO, PICTURES, CONTENT, OR NETWORK PAGE (INCLUDING, BUT NOT LIMITED TO, LOSS OF SERVICE DUE TO TECHNICAL PROBLEMS), REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF SHOPLOCAL NETWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIMITATIONS DESCRIBED HEREIN WILL ALSO APPLY TO ALL VIDEO STREAMING, AUDIO STREAMING, NETWORK MANAGER / OWNER, MEMBERSHIP DISPUTES, INVOLVING BOTH NEW OR CURRENT REGISTERED USERS AND RENEWALS OR ANY FAILURE TO RENEW SERVICES. IN NO EVENT SHALL SHOPLOCAL NETWORKS MAXIMUM LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR SERVICES BEING OFFERED FREE OR OTHERWISE.

Indemnification. You agree to indemnify, defend and hold EnvisionCast Networks and its affiliates, directors, officers, employees and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, resulting from any third-party claim, action, dispute or demand related to your use of the services you purchase or use as a free service. Your violation of any of the provisions of this Agreement will be cause for termination. Such liabilities may include, but are not limited to, those arising from the following: (a) with respect to your business, (i) infringement or misappropriation of any intellectual property rights; (ii) defamation, libel, slander, obscenity, pornography, or violation of the rights of privacy or publicity; or (iii) spamming, or any other offensive, harassing or illegal conduct or violation of the acceptable uses described herein or anti-spam policy; (b) any damage, theft or destruction to ShopLocal Networks Software, code, or equipment or to any other account holder, which damage is caused by or otherwise results from acts or omissions by you, your representative(s) or your designee; (c) any personal injury or property damage arising out of your activities related to the Services; and (d) any other damage arising from your equipment or your business. (e) Use of network space is only allowed to companies who do not use, post, or host pornography. Direct competitors are also excluded from using our services. Any company, person, or entity found using our services to abuse and spam or exploit others in a negative base will not be allowed to use our services. We reserve the right to refuse, cancel, or suspend service at our sole discretion. If you have any questions about our TOS, please contact us for more clarification.

Refunds: We encourage any customer, user or member to contact their local Network owner to settle any refund issues. We also encourage platform users (Broadcast Groups, Local Businesses, Organizations) to come up with a fair refund policy to provide refunds to their owners, members, affiliates, or any other entity. (EnvisionCast gaurantees 99% uptime utilizing safe and secure Amazon servers.)If you are requesting a refund due to use or non use of service, non productivity of your business, your members business, or anyone affiliated with ENVISIONCAST Networks usage, your request will have handled on a case by case basis.

Network Owner Disputes:

  1. Cooperation. You as a Network owner must settle your own disputes with any Shopping Channel owner under your network. You agree to cooperate in good faith to resolve any dispute regarding their purchases, advertising, or anything sold to you or their members on ENVISIONCAST NETWORKS.
  2. Informal Mediation. If you and the Shoppng Channel ownwer are unable to resolve the dispute after a reasonable period of time ,either you or the Shopping Channel owner may escalate the dispute to with your local Attourneys for mediation. ENVISIONCAST does not get involved with your disputes arrising out of the use of our platform. You must be willing to work in good faith to resolve the dispute via such formal or informal mediation.
  3. Refunds Any Shopping Channel under your network must contact you for any refund request as if falls under your Network Ownership policy that you make with your vendors, advertisers, or Shopping Channel owners.

Compliance Notice: Compliance with Legal Process: It is possible that we may need to disclose personal information, profile information and/or information about your activities as a ENVISIONCAST if and when required by legal processes or if ENVISIONCAST has a good faith belief that disclosure is necessary to (a) investigate, prevent or take action regarding suspected or actual illegal activities or to assist government enforcement agencies; (b) to enforce the User Agreement, to investigate and defend ourselves against any third party claims or allegations, or to protect the security or integrity of our site; and/or (c) to exercise or protect the rights, property or personal safety of EnvisionCast, our Users, employees, or others.
